Terms of Service
Effective Date: May 04, 2026
These Terms of Service ("Terms") govern your access to and use of the MQG Assessment Platform ("Platform") operated by Melioro Quality Group LLC ("MQG", "we," "us," or "our"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.1. Eligibility
You must be at least 18 years of age to use the Platform. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
2. Description of Service
The MQG Assessment Platform is a quality management assessment tool that provides compliance gap analysis, audit questionnaires, CAPA tracking, metrics reporting, and related functionality for quality management professionals. The Platform is provided as a subscription-based Software-as-a-Service (SaaS) offering at app.meliorogroup.com.
3. Not Legal, Regulatory, or Compliance Certification Advice
The Platform and its outputs are for informational and operational support purposes only. Nothing in the Platform constitutes legal advice, regulatory advice, or compliance certification. Assessment results, scores, and reports generated by the Platform do not guarantee regulatory compliance and should not be relied upon as a substitute for qualified legal, regulatory, or engineering counsel.
Specifically:
The Platform is not designed or validated for use as a 21 CFR Part 11 compliant electronic records system. Users subject to FDA regulations must not use the Platform as a system of record for required electronic records under 21 CFR Part 11 without independent validation.
The Platform is not a HIPAA-covered service. No Business Associate Agreement (BAA) is provided. Users must not input Protected Health Information (PHI) into the Platform.
The Platform does not collect biometric identifiers as defined under the Illinois Biometric Information Privacy Act (BIPA) or similar laws. Users must not input biometric data into the Platform.
Assessment results reflect the information entered by the user and are not a substitute for a formal third-party certification audit by an accredited certification body.
4. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
Provide accurate and complete registration information
Maintain the security of your password
Notify us immediately of any unauthorized use of your account at [email protected]
Not share your account credentials with others
We reserve the right to suspend or terminate accounts that violate these Terms.
5. Subscription and Payment
Access to certain Platform features requires a paid subscription. Subscriptions are billed on a monthly or annual basis via Stripe, Inc. By subscribing, you authorize us to charge the applicable fees to your payment method.
Subscription fees are charged at the start of each billing period
You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
We reserve the right to change subscription fees with 30 days prior notice
Refunds are not provided for partial billing periods except as required by applicable law
If your payment fails, your account may be downgraded to the free tier until payment is resolved
6. Free Tier
A free tier is available with access to ISO 9001:2015 assessment functionality only. Free tier users receive limited features as described on the Platform. We reserve the right to modify or discontinue the free tier at any time with reasonable notice.
7. Ownership of Data
You retain ownership of all data you input into the Platform ("Customer Data"), including assessments, findings, CAPA records, and reports. Melioro Quality Group LLC does not claim ownership of Customer Data.
You grant Melioro Quality Group LLC a limited, non-exclusive license to store, process, and display your Customer Data solely to provide the Platform services to you. Melioro Quality Group LLC will not use your Customer Data for any purpose other than providing the Platform, except as required by law or as described in our Privacy Policy.
You may export your data at any time using the "Download my data" feature in your dashboard. Upon account deletion, your data will be deleted within 30 days as described in our Privacy Policy.
8. Acceptable Use
You agree not to use the Platform to:
Violate any applicable law or regulation
Upload or transmit Protected Health Information (PHI) or biometric data
Reverse engineer, decompile, or attempt to extract the source code of the Platform
Interfere with or disrupt the integrity or performance of the Platform
Attempt to gain unauthorized access to any system or network
Use the Platform for timesharing, service bureau, or resale purposes without our prior written consent
Remove any proprietary notices or labels from the Platform
9. Intellectual Property
Melioro Quality Group LLC owns all right, title, and interest in and to the Platform, including all software, features, content, designs, and intellectual property. These Terms do not grant you any ownership rights in the Platform.
The question banks, scoring methodology, and report templates in the Platform are proprietary to Melioro Quality Group LLC. You may use the outputs of the Platform (reports, exports) for your own internal business purposes. You may not reproduce, distribute, or resell the Platform's content or question banks without our prior written consent.
10. Confidentiality
Each party agrees to protect the other party's confidential information with at least the same degree of care used to protect its own confidential information, but no less than reasonable care. Confidential information does not include information that: (a) is or becomes generally available to the public through no breach of these Terms; (b) was already known to the receiving party; (c) was independently developed without use of confidential information; or (d) is required to be disclosed by law.
11. Warranty Disclaimer
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MELIORO QUALITY GROUP LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATION.
Melioro Quality Group LLC does not warrant that the Platform will be uninterrupted, error-free, or free from viruses or harmful components. We will make reasonable efforts to notify you of any scheduled maintenance that may affect Platform availability.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MELIORO QUALITY GROUP LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damages arising from reliance on Platform outputs for regulatory compliance decisions
Any matter beyond our reasonable control
IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE FEES PAID BY YOU TO MELIORO QUALITY GROUP LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Melioro Quality Group LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your input of data that infringes any third-party rights.
14. Termination
Either party may terminate these Terms at any time. You may terminate by deleting your account. We may terminate or suspend your account for violation of these Terms, non-payment, or any other reason with reasonable notice, except in cases of material breach where immediate termination may apply.
Upon termination, your right to use the Platform immediately ceases. We will make your Customer Data available for export for 30 days following termination, after which it will be deleted as described in the Privacy Policy. Provisions that by their nature should survive termination will survive, including payment obligations, intellectual property rights, disclaimers, and limitation of liability.
15. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Illinois, without regard to its conflict of laws provisions. Any dispute arising from these Terms shall be brought in the appropriate state or federal courts located in Lake County, Illinois. Each party submits to the personal jurisdiction of such courts.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notice at least 30 days before the changes take effect. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

SaaS Terms and Conditions

These SaaS Terms and Conditions ("Services Terms") govern the subscription and use of the MQG Assessment Platform ("Services") provided by Melioro Quality Group LLC ("Melioro Quality Group LLC", “MQG”, "we", "us", or "our") with a place of business at 1051 Avery Ridge Circle, Lake Zurich, IL 60047, USA. These Services Terms incorporate by reference the Terms of Service and Privacy Policy Statement, all of which a Customer accepts when creating an account or submitting an order. Melioro Quality Group LLC reserves the right to change these Services Terms from time to time with reasonable notice.Note on necessity of this document: These SaaS Terms and Conditions complement the Terms of Service by providing specific operational, commercial, and technical terms applicable to business customers and subscription management. Both documents apply to all users of the Platform.1. Services and Support
Subject to these Services Terms, Melioro Quality Group LLC will use commercially reasonable efforts to provide the Services. As part of registration, you will create account credentials for the Platform. Melioro Quality Group LLC reserves the right to refuse registration or cancel credentials it deems inappropriate.
Melioro Quality Group LLC will provide reasonable technical support via [email protected] in accordance with our standard practice as in effect from time to time. Support is provided in English. We aim to respond to support requests within 2 business days.
2. Restrictions and Responsibilities
You will not, directly or indirectly:
Reverse engineer, decompile, or disassemble the Platform or attempt to discover source code, algorithms, or underlying structures
Modify, translate, or create derivative works based on the Platform except as expressly permitted
Use the Platform for timesharing, service bureau, or resale purposes without prior written consent from Melioro Quality Group LLC
Remove any proprietary notices or labels from the Platform
Export or re-export the Platform in violation of U.S. export control laws or regulations
Use the Platform in a manner that violates any applicable law, regulation, or these Services Terms
You are responsible for: (a) maintaining the security of your account credentials; (b) all activity occurring under your account; (c) obtaining and maintaining any equipment and internet connectivity needed to access the Services.
3. Confidentiality and Proprietary Rights
Each party agrees to protect the other party's confidential information. Melioro Quality Group LLC's confidential information includes non-public information about the Platform's features, functionality, and performance. Your confidential information includes the Customer Data you upload into the Platform.
You retain all ownership of your Customer Data. Melioro Quality Group LLC retains all ownership of the Platform, software, and related intellectual property. Notwithstanding the foregoing, Melioro Quality Group LLC may collect and analyze anonymized, aggregated data relating to Platform usage to improve and enhance the Services, provided such data does not identify you or your organization.
4. Payment of Fees
You will pay Melioro Quality Group LLC the applicable subscription fees for the Services as described on the Platform or in any applicable order form. Melioro Quality Group LLC reserves the right to change fees at the end of any subscription term with 30 days prior notice. If you believe you have been billed incorrectly, contact [email protected] within 60 days of the billing date.
Unpaid amounts may result in suspension or termination of Service. You are responsible for all applicable taxes associated with the Services, other than taxes based on Melioro Quality Group LLC's net income.
5. Term and Termination
These Services Terms commence when you create an account and continue for the duration of your subscription. Monthly subscriptions renew automatically each month. Annual subscriptions renew automatically each year. Either party may terminate by providing notice before the renewal date.
Either party may terminate immediately if the other party materially breaches these Services Terms and fails to cure the breach within 30 days of written notice. Upon termination, your access to the Platform will cease. Melioro Quality Group LLC will make your Customer Data available for export for 30 days following termination, after which it will be deleted in accordance with our Privacy Policy.
6. Service Availability
Melioro Quality Group LLC will use commercially reasonable efforts to maintain Platform availability. The Platform may be temporarily unavailable for scheduled maintenance, emergency maintenance, or causes beyond our reasonable control (including infrastructure outages, natural disasters, or acts of government). We will use reasonable efforts to provide advance notice of scheduled maintenance via email or in-app notice.
Melioro Quality Group LLC does not warrant that the Services will be uninterrupted or error-free. THE SERVICES ARE PROVIDED "AS IS" AS DESCRIBED IN THE TERMS OF SERVICE.
7. Data and Security
Melioro Quality Group LLC implements reasonable security measures to protect Customer Data as described in the Privacy Policy Statement. You are responsible for maintaining appropriate security for your account credentials and for promptly notifying Melioro Quality Group LLC of any unauthorized access.
Customer Data is stored on Supabase infrastructure hosted on AWS us-east-1 (Virginia, USA). Data is encrypted at rest and in transit. As a US-hosted platform, Customer Data may be subject to US government access requests under applicable law, including the CLOUD Act. This is disclosed to Canadian and international users.
8. Limitation of Liability
NOTWITHSTANDING ANYTHING TO THE CONTRARY, MELIORO QUALITY GROUP LLC AND ITS SUPPLIERS, OFFICERS, AFFILIATES, AND EMPLOYEES SHALL NOT BE RESPONSIBLE OR LIABLE: (A) FOR ERROR OR INTERRUPTION OF USE, OR LOSS OF DATA; (B) FOR ANY INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES; (C) FOR ANY MATTER BEYOND MELIORO QUALITY GROUP LLC'S REASONABLE CONTROL; OR (D) FOR AMOUNTS THAT EXCEED THE FEES PAID BY CUSTOMER IN THE 12 MONTHS PRIOR TO THE ACT GIVING RISE TO LIABILITY.
9. Publicity
Neither party will issue any publicity or general marketing communications about their relationship without prior written consent of the other party. Melioro Quality Group LLC may use customer names and general descriptions of use in marketing materials with prior consent.
10. Miscellaneous
If any provision of these Services Terms is found unenforceable, the remaining provisions will continue in full force. These Services Terms are not assignable by you without Melioro Quality Group LLC's prior written consent. Melioro Quality Group LLC may assign its rights and obligations without consent.
These Services Terms, together with the Terms of Service and Privacy Policy Statement, constitute the complete and exclusive agreement between the parties regarding the Platform and supersede all prior agreements. Any waiver or modification must be in writing.
These Services Terms shall be governed by the laws of the State of Illinois without regard to conflict of laws provisions. Any judicial proceeding shall be brought in the appropriate state or federal courts in Lake County, Illinois.

Information We Collect
1.1 Personal Information You Provide
When you create an account and use the Platform, we collect:
Account data: email address and encrypted password
Assessment data: organisation names, assessment scores, findings, CAPA records, distribution lists, and report content you create within the Platform
Assessor information: name, company, email address, and role/qualification you enter
Payment data: billing details handled entirely by Stripe, Inc. — we do not store card numbers or financial account data

When you use the Platform, we may collect:
IP address and browser/device information
Dates and times of access and usage
Pages visited and features used within the Platform
1.3 What We Do Not Collect
Melioro Quality Group LLC does not collect biometric identifiers or biometric information as defined under the Illinois Biometric Information Privacy Act (BIPA) or similar laws. The typed signature feature in the Platform captures a text-based name for display purposes only and does not constitute biometric data collection. Melioro Quality Group LLC does not collect Protected Health Information (PHI) as defined under HIPAA. Users must not input PHI into the Platform.
How We Use Your Data
We use the data we collect to:
Provide, operate, and improve the Platform and related services
Process payments and manage subscriptions via Stripe
Send transactional communications (account confirmation, payment receipts)
Send marketing communications about Melioro Quality Group LLC products and services — you may unsubscribe at any time
Comply with legal obligations and respond to lawful requests
Protect against fraud and unauthorized access
We use the data you upload into the Platform (assessments, findings, CAPAs) only to provide the service to you. We do not sell your data. We do not use your data for advertising.
Data Retention
We retain your personal and assessment data as follows:
Account data (email, authentication): retained for the life of your account
Assessment data (assessments, findings, scores, CAPAs): retained for the life of your account
Payment records: retained as required by applicable tax and financial laws (typically 7 years)
Server logs and usage data: retained for up to 12 months
Upon account deletion: all assessment data is deleted within 30 days of account closure. Authentication records are deleted within 30 days. Anonymized aggregate usage statistics may be retained indefinitely.
You may delete your account and all associated data at any time using the "Delete account" link in your dashboard, or by contacting us at [email protected].
Cookies and Similar Technologies
Cookies We Use
The Platform uses the following types of cookies:
Strictly Necessary Cookies: required for authentication, session management, and core Platform functionality. These cannot be disabled.
Functional Cookies: used to remember your preferences and settings within the Platform.
We do not use advertising, targeting, or tracking cookies. We do not use pixel tags or web beacons for marketing purposes.
Data Sharing
We share your data only as described below:
Infrastructure providers: Supabase (database and authentication, hosted on AWS us-east-1), Vercel (application hosting), and Stripe (payment processing). Each is bound by data processing agreements.
Legal requirements: we may disclose data in response to lawful requests by government authorities, including to meet national security or law enforcement requirements.
Business transfers: if we sell or transfer all or a portion of our business, we will make reasonable efforts to ensure your data is handled consistently with this Policy.
We do not sell, rent, or trade your personal data to any third party for their marketing purposes.
Your Rights and Choices
Regardless of where you reside, you may exercise the following rights:
Access: download all your data using the "Download my data" link in your dashboard, or contact [email protected]
Correct: update or correct your data directly within the Platform
Delete: remove all your data using the "Delete account" link in your dashboard, or contact [email protected]
Transfer: your data export is provided in machine-readable JSON format
Restrict or Object: contact [email protected] to restrict or object to specific processing
Opt out of marketing: click the unsubscribe link in any marketing email
We aim to respond to all legitimate requests within 30 days. For complex requests, we will notify you and keep you updated.
California Residents (CCPA/CPRA)
California residents have additional rights under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), including the right to know, delete, correct, and opt out of the sale of personal information. Melioro Quality Group LLC does not sell personal information. To exercise your rights, contact [email protected] or write to us at the address above. We will confirm receipt within 10 business days and respond within 45 days.
Canadian Users (PIPEDA and Provincial Laws)
Melioro Quality Group LLC complies with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws including Quebec Law 25, Alberta PIPA, and BC PIPA with respect to users in those provinces. Canadian users have the right to access, correct, and request deletion of their personal information. Contact [email protected] to exercise these rights.
Canadian Commercial Email (CASL)
Melioro Quality Group LLC complies with Canada's Anti-Spam Legislation (CASL). We will not send commercial electronic messages to Canadian users without express prior consent. Transactional messages (account confirmation, payment receipts, service notifications) are sent based on implied consent as permitted under CASL. To provide express consent for marketing communications, or to withdraw consent, contact [email protected] or use the unsubscribe link in any message.
Nevada Residents
Nevada residents may request that Melioro Quality Group LLC not sell their personal information. Melioro Quality Group LLC does not sell personal information. To submit a Nevada opt-out request, contact [email protected].
Industry-Specific Disclaimers
21 CFR Part 11
The MQG Assessment Platform is not designed, validated, or intended for use as a 21 CFR Part 11 compliant electronic records and signatures system. Users subject to FDA regulations who are required to maintain records under 21 CFR Part 11 should not use this Platform as a system of record for required electronic records without independent validation and legal review. Melioro Quality Group LLC makes no representation that the Platform meets 21 CFR Part 11 requirements.
HIPAA
The MQG Assessment Platform is not a HIPAA-covered entity and no Business Associate Agreement (BAA) is offered. Users must not input, store, or process Protected Health Information (PHI) as defined under HIPAA in the Platform. Melioro Quality Group LLC assumes no liability for any use of the Platform that involves PHI.
Biometric Data (Illinois BIPA)
Melioro Quality Group LLC does not collect, capture, store, or use biometric identifiers or biometric information as defined under the Illinois Biometric Information Privacy Act (740 ILCS 14/) or any similar state or federal law. Users must not input biometric data into the Platform.
International Data Transfers
The Platform is hosted in the United States (AWS us-east-1, Virginia). If you use the Platform from the European Economic Area (EEA), United Kingdom, Switzerland, Canada, or other regions, your data will be transferred to and processed in the United States. By using the Platform, you consent to such transfer and processing in accordance with this Policy.
Users in the EU/EEA should note that the United States may not provide the same level of data protection as their home country. We implement appropriate safeguards including data processing agreements with our infrastructure providers.
Data Security
Melioro Quality Group LLC implements reasonable technical, administrative, and physical safeguards to protect your data, including:
Data encrypted at rest and in transit (TLS 1.2+)
Row-level security ensuring users can only access their own data
Access controls limiting employee and contractor access to user data
Regular security monitoring via Supabase infrastructure
No method of electronic storage or transmission is 100% secure. If you have questions about data security, contact [email protected]. As required by applicable law, we will notify affected users of any breach in accordance with the applicable notification timelines.
Changes to This Policy
We will notify users of material changes to this Policy via email or in-app notice at least 30 days before changes take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Policy.
